You must have the legal capacity to enter into a binding agreement under applicable law to use the Services. By using the Services, you represent and warrant that you meet this requirement.

VILOSTUDIOS provides animation production, creative development, and related digital services. All content presented on the Services, including portfolios, descriptions, and showcases, is provided for general informational purposes only and does not constitute a binding offer. Any formal engagement shall be subject to a separate written agreement.

All materials and content available through the Services, including but not limited to text, images, animation, audio, video, software, and branding, are owned by VILOSTUDIOS or its licensors and are protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, reproduce, distribute, modify, or create derivative works from any content without prior written consent.

You may not use the Services or any content made available through the Services for training or developing artificial intelligence systems, machine learning models or datasets, or data scraping, mining, or extraction for algorithmic or automated processing purposes. Any unauthorized use constitutes a material breach of these Terms. You shall be liable for all damages, losses, and expenses arising from such breach, including compensation to affected rights holders and reasonable legal fees incurred by VILOSTUDIOS.

You agree not to use the Services in any manner that violates the rights of others, is unlawful, fraudulent, or deceptive, or harms the reputation or operations of VILOSTUDIOS. We reserve the right to investigate and take appropriate legal action.

VILOSTUDIOS may, at its discretion, maintain a network of collaborators, freelancers, and contributors. Participation in such a network does not guarantee work, compensation, or continued engagement. Only individuals formally authorized by VILOSTUDIOS as producers, recruiters, directors, or equivalent roles may invite or onboard additional collaborators. Unauthorized individuals may not recruit or invite others, assign work, or represent authority on behalf of VILOSTUDIOS. VILOSTUDIOS shall not be responsible for any arrangements made outside its authorized structure.

Unless expressly stated in a separate written agreement, all collaborators are independent contractors and are free to engage in other professional activities.

Any non-public information provided through the Services or in connection with VILOSTUDIOS’ operations shall be treated as confidential and may not be disclosed without prior written consent.

Where you engage VILOSTUDIOS for paid Services, payment terms shall be defined in a separate written agreement. Unless otherwise agreed, all invoices are final and non-refundable, and payments may be required in advance or in agreed milestones. VILOSTUDIOS reserves all rights, title, and interest in any work product until full payment is received.

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind. VILOSTUDIOS disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, VILOSTUDIOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities. To the maximum extent permitted by law, the total aggregate liability of VILOSTUDIOS shall not exceed the amount paid for the specific service giving rise to the claim within the twelve (12) months preceding the claim or one hundred U.S. dollars (USD $100), whichever is greater.

You agree to indemnify and hold harmless VILOSTUDIOS from any claims, damages, liabilities, and expenses arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

VILOSTUDIOS shall not be liable for any delay or failure resulting from causes beyond its reasonable control, including but not limited to natural events, technical failures, labor disputes, or governmental actions.

We may suspend or terminate your access to the Services at any time if you violate these Terms, your conduct poses a risk to VILOSTUDIOS, or we are required to do so by law or regulatory authority.

Any dispute, controversy, or claim arising out of or in connection with these Terms shall be finally resolved by arbitration. Seat of arbitration: Singapore. Language: English. You agree that all disputes shall be conducted on an individual basis only, and you waive any right to participate in class actions or collective proceedings.

These Terms shall be governed by the laws of the jurisdiction of VILOSTUDIOS’ principal place of business, without regard to conflict-of-law principles.

These Terms constitute the entire agreement between you and VILOSTUDIOS regarding the use of the Services and supersede all prior communications.

All information provided through the Services is for general informational purposes only and should not be relied upon as a substitute for formal agreements or professional advice.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

We may update these Terms from time to time. Updated versions will be posted with a revised “Last Updated” date. Continued use of the Services constitutes acceptance of the updated Terms.
